
The Henderson Castle Foundation is a Michigan nonprofit corporation and an IRS-
recognized 501(c)(3) public charity established to preserve, protect, and steward
Henderson Castle, a significant historic landmark in Kalamazoo, Michigan, for the benefit of
the public. The Foundation’s mission is to ensure that Henderson Castle is preserved as an
architectural, cultural, and educational resource and that it remains accessible for public
appreciation, interpretation, and learning for generations to come.

The Henderson Castle Foundation is a Michigan nonprofit corporation and an
IRS-recognized 501(c)(3) public charity organized exclusively for charitable and educational purposes, including the preservation, protection, and public stewardship of Henderson Castle. Henderson Castle is held by the Foundation as a charitable asset and is managed in a manner consistent with the Foundation’s exempt purposes, fiduciary responsibilities, and applicable nonprofit governance standards. The Foundation does not operate commercial or hospitality businesses. In furtherance of its charitable mission and to support the long-term sustainability of the Castle, the Foundation leases the building to AJFFM LLC for hospitality and visitor service operations pursuant to a written lease agreement. AJFFM LLC is responsible for all day-to-day hospitality operations, including staffing, and pays monthly rent to the Henderson Castle Foundation at rates intended to reflect fair market value. The Foundation does not provide staffing or engage in the operation of the hospitality business. All rental income received by the Foundation is used exclusively to support historic preservation, capital maintenance, public access, educational programming, and other charitable purposes of the Foundation. No part of the Foundation’s net earnings inures to the benefit of any private individual. All leasing arrangements are reviewed and approved by the Foundation’s Board of Directors in accordance with the Foundation’s governance policies, including its conflict-of-interest policy, and are structured to protect charitable assets and comply with federal and state nonprofit regulations. The Henderson Castle Foundation is governed by an independent Board of Directors that provides fiduciary oversight and ensures the organization fulfills its charitable mission in compliance with applicable federal and state laws. The Board oversees stewardship of charitable assets, financial accountability, preservation priorities, and compliance with nonprofit governance standards. The Foundation maintains formal governance policies, including conflict-of-interest standards, to protect the integrity of its operations.
